- West Virginia University Health System has solidified the next phase in its plan to acquire Greensburg, Pennsylvania-based nonprofit Independence Health System, announcing this week the two parties had signed a definitive agreement to combine.
- As part of the deal, which was announced last year, WVU Health System will invest $800 million into Independence’s five hospitals in order to install a new electronic health record and upgrade the facilities.
- The health systems now expect the acquisition will close in September or October, pending regulatory approval.

The deal should further expand WVU Health System’s footprint in southwestern Pennsylvania and central Appalachia. WVU Health System already has a presence in the area. It owns hospitals in Uniontown, Pennsylvania; Maryland; Ohio and West Virginia.
The greater western Pennsylvania market is a competitive region for healthcare services, made attractive by the area’s proximity to Pittsburgh, which is less than an hour drive’s south from the city.
The two major health networks in Pittsburgh are UPMC and Allegheny Health Network — Independence has clinical collaborations with both, according to credit ratings agency Fitch Ratings.
In addition, a combination should help Independence, which has struggled in recent years. Although the system leads in market share in Butler and Clarion County, it’s struggled with staffing challenges and rising expenses.
Independence, which was formed in 2023 through a merger of Butler Health System and Excela Health, has recorded an operating loss every year since it was formed.
Its sinking cash flow, combined with its failure to file timely financial audits for 2023 and 2024, caused the health system to fall out of compliance with some of its bondholders and Truist Bank. Lenders agreed to delay accelerating repayments through a forebearance agreement with Independence, which expires June 10.
The deal is a bright spot for Independence’s debt. As part of the acquisition, WVU Health System agreed to ensure Independence meets its financial liabilities and avoids default.
In contrast, WVU Health System has enjoyed more healthy financials — the system netted $939 million in net income last year on $8.6 billion in operating revenue.
Independence and WVU Health System said in a statement that the deal should support “long-term financial sustainability” by sharing resources and operational efficiencies.
